CITITRENDS JINGLE CONTEST OFFICIAL RULES AND TERMS OF SUBMISSION

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED BY LAW.

These are the Official Contest Rules for the (the “Contest”) sponsored by CITITRENDS (“Sponsor(s)”).

1. ELIGIBILITY: Open only to legal residents of the United States, 18 years of age or older as of entry date. Employees of Sponsor, its parent company, affiliates, subsidiaries, franchisees, advertising and promotion agencies, and their immediate family members (spouse, parents, siblings, and children) and household members are not eligible to enter or win.
2. ENTRY: Contestants will be provided with access to a downloadable MP3 file of the original CITITRENDS jingle on the Contest webpage at http://www.cititrends.com/citijingle.

To enter the Contest, Contestants must submit an original audio remix or reinterpretation of the iconic “C-I-T-I CITITRENDS” jingle. Each Submission must be between 15 and 30 seconds in length and may include vocals, instrumentation, or both.

Contestants may satisfy this requirement in either of the following ways:

1. Remix Option: Use the original CITITRENDS jingle track (in whole or in part) and create a remix; or
2. Reinterpretation Option: Create an entirely new track that does not use the original audio file but is clearly inspired by and meaningfully references the original jingle’s melody, rhythm, and/or lyrics.

Submissions must be uploaded in MP3, WAV, M4A, or AMR format and submitted at www.cititrends.com/citijingle

Submissions may be in any musical genre but should reimagine the jingle in a way that feels modern, joyful, and culture-forward, while remaining true to the CITITRENDS brand. Submissions that do not meaningfully reference or reinterpret the original “C-I-T-I” jingle may be disqualified (each, a “Submission”).

All Submissions, including any vocals, lyrics, spoken word, or other audio content, must be suitable for a general audience. Submissions may not contain explicit language, profanity, obscene or sexually explicit material, hate speech, defamatory statements, unlawful content, references to illegal activity, or any material that is infringing, offensive, or otherwise inconsistent with CITITRENDS’ brand standards, as determined by the Company in its sole discretion. Any Submission containing such material shall be deemed ineligible and may be disqualified. The Company reserves the right to remove, reject, or disqualify any Submission and to take any other action it deems appropriate in its sole discretion, including barring a Contestant from participation in the Contest.

3. JUDGING: Entries will be evaluated by a panel of judges using pre‑disclosed, objective criteria, including: musical creativity and originality; adherence to Sponsors brand guidelines; production quality; overall artistic merit; and resonance with the Sponsors brand.

Each Submission must include the entrant’s name, home address, email address, and phone number. Submissions lacking complete contact information will not be considered. All Submissions must be received by March 31, 2026. Finalists will be announced by the end of April 2026.

Up to five (5) Finalists will receive an all‑inclusive trip to Atlanta to professionally record their jingles, which will be featured in a nationwide public engagement campaign on the Sponsor’s Instagram platform. Public voting will be used only to narrow the Finalist pool and will not determine the winner. The final winner will be selected by the judging panel using the stated criteria, with public engagement considered, if at all, as a non‑determinative factor.

Sponsors may edit or modify any Submission at their sole discretion. No further consideration or credit is guaranteed. The winner will be announced by the end of July 2026.

4. PRIZE: At the conclusion of the Contest, the Finalist receiving the highest overall score, as determined by the judges in accordance with the stated judging criteria, will be designated the “Contest Winner.” The Contest Winner will be notified by mail, email, telephone, or in person, in the Sponsor’s discretion. Sponsor’s use of the Contest Winner’s jingle is not guaranteed and shall be at the Sponsor’s sole discretion. No additional compensation, consideration, or guarantee of use is provided beyond what is expressly stated herein.

The approximate retail value of the all-inclusive trip to Atlanta is $4,000 (“ARV”). The ARV is provided for informational purposes only and does not represent a guarantee of actual value. The Contest Winner is solely responsible for any and all federal, state, and local taxes, fees, and other governmental charges associated with the receipt or use of the Prize. The Sponsor will not be responsible for any tax obligations incurred by the Contest Winner as a result of participation in the Contest.

5. REPRESENTATIONS: You represent and warrant that (i) your entire Submission is an original work by you and you have not copied or used other works or other third party materials in your Submission; (ii) your Submission will not infringe or violate any rights of any person or entity including, without limitation, any copyright, trademark, patent, privacy or publicity, or contractual rights, or constitute idea misappropriation; (iii) your Submission has never been previously published; (iv) you are over 18 years of age and are legally qualified for employment in the United States.
6. BACKGROUND CHECK: Sponsor reserves the right to conduct a background check of any and all records of any Finalist or the Contest Winner, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, you shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor. In that regard, you will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify a Finalist or the Contest Winner based on the background check and select an alternate.
7. RELEASE/PERMISSION: By entering, you agree to: (1) release the Sponsors, their parent, subsidiary, affiliated and related companies, and franchisees, and any of their employees, officers, members, directors and agents from all liability, injuries, loss and/or damage of any kind arising from your participation in the Contest and the acceptance, possession and use/misuse of any prize; (2) be bound by the Official Rules and the decisions of the Sponsors and the judges; (3) be contacted by email, phone or mail; and (4) complete any agreements, authorizations, release forms and waivers as Sponsor may require. By accepting a prize or Finalist position, Finalists and Contest Winner consent to the use of his/her name and likeness for potential advertising and promotional purposes without additional compensation in all media worldwide.

TERMS AND CONDITIONS OF SUBMISSION

PLEASE REVIEW THESE TERMS AND CONDITIONS OF SUBMISSION (THE “AGREEMENT”) CAREFULLY, AS THEY CONSTITUTE A BINDING AGREEMENT. THESE TERMS AND CONDITIONS OF SUBMISSION GOVERN ALL SUBMISSIONS IN CONNECTION WITH THE CONTEST (THE “CONTEST”).

As used herein, the term “Submission” means any and all materials submitted by you in connection with the Contest, including, without limitation, any audio files (in any format, whether digital or otherwise), written articles, essays, compositions, recordings, transcripts, supporting materials, attachments, or other content provided by you, whether submitted electronically, online, by email, or through any other permitted means.

1. ELIGIBILITY: You represent that you are a legal resident of the United States and at least 18 years old at the time of entry.
2. ORIGINALITY: You represent and warrant that (i) your entire Submission is an original work by you and you have not copied or used other works or other third party materials in your Submission (except those approved by the Sponsor), including any music; (ii) your Submission will not infringe or violate any rights of any person or entity including, without limitation, any copyright, trademark, patent, privacy or publicity, or contractual rights, or constitute idea misappropriation; (iii) Submissions are completed without the use of artificial intelligence tools or AI-generated content; and (iv) you have all the rights, permissions and consents necessary to submit the Submission in accordance with this Agreement and for use of the Submission by CITITRENDS, Inc. (“CITITRENDS”) in all means and media. You further represent and warrant that anyone engaged by you in the creation of the Submission (x) has no claims for payment of any kind; (y) has no approval or consultation rights or any rights of participation; and (z) was not engaged by you or anyone associated with the Submission under any union or guild agreement that would result in any ongoing obligations resulting from the exploitation of the Submission. Upon request, you will provide CITITRENDS with signed releases as it may deem necessary in its sole discretion. You further represent and warrant that your Submission does not violate any federal, state or local law or regulation.
3. NO PAYMENT FOR JINGLE SUBMISSION: You understand that you will not be paid any money for submitting your Submission or for agreeing to the terms set forth in this Agreement.
4. RIGHTS GRANTED: By submitting your Submission, you hereby irrevocably grant CITITRENDS, its parent, subsidiary and affiliated companies, and each of their respective licensees, distributors, agents, representatives and other authorized users including, without limitation, advertisers/sponsors directly associated with the Contest (collectively, the “Licensed Entities”), without the requirement of any permission from or payment to you or to any other person or entity, a perpetual, non-exclusive, irrevocable, fully-paid, royalty-free, sub-licensable and transferable worldwide license to use, re-use, reproduce, transmit, print, publish, display, exhibit, distribute, re-distribute, copy, host, store, cache, archive, index, categorize, comment on, broadcast, stream, edit, alter, modify, adapt, translate, create derivative works based upon and publicly perform such Submission, in whole or in part (including, without limitation, all names, voices and likenesses contained in the Submission), in all means and media now known or hereafter devised, for any and all purposes including, without limitation, news, advertising, promotional, marketing, publicity, trade or commercial purposes, all without further notice to you or to any third party and with or without attribution. The Licensed Entities shall have the right, but not the obligation, to upload, repost, publish, or otherwise display any Submission on Company-owned or Company-controlled social media accounts and digital platforms and to tag, identify, and reference the social media handle provided by the contestant in connection with such use. Any such tagging, reposting, publication, or display shall not be construed as an endorsement, sponsorship, approval, or verification of the contestant, the Submission, or any statements or claims made therein. Nothing in this Agreement obligates or may be deemed to obligate any of the Licensed Entities to use your Submission. You acknowledge that your Submission may be cut, edited and/or added to for any reason and in any manner which the Licensed Entities may, in their sole discretion, determine and may, to the extent decided by the Licensed Entities in their sole discretion, have sound effects, music, host voiceovers and/or other elements added to the Submission, and that the Licensed Entities may use and modify the Submission or any portion or element of it and combine it with other materials. You further acknowledge that your consideration for entering into this Agreement is, among other things, CITITRENDS or its designees’ review of your Submission in connection with the Contest, the possibility of your Submission being published on one or more of CITITRENDS’ (or CITITRENDS’ affiliates’) media platforms and the possible publicity and promotion as a result. You are not guaranteed to receive any further consideration of any kind for your Submission and any credit you receive in connection with any of the Licensed Entities’ use of your Submission shall be in the applicable Licensed Entity’s sole discretion. You acknowledge that your Submission is sent voluntarily, and not in confidence, and that no confidential relationship is intended or created between CITITRENDS and you or between any of the Licensed Entities and you by virtue of the submission of your Submission. You further acknowledge that CITITRENDS or the Licensed Entities may develop information internally or receive information from other parties that is similar to your Submission. Accordingly, nothing in this Agreement shall be construed as a representation or agreement that CITITRENDS and the Licensed Entities have not or will not develop or have developed ideas, concepts, products, systems or techniques that are similar to or compete with any ideas, concepts, products, systems or techniques contemplated by or embodied in your Submission. You further acknowledge that in the event of a breach of this Agreement by CITITRENDS or any third party including any of the Licensed Entities, the damage, if any, caused to you will not entitle you to seek injunctive relief or other equitable relief, and you will not have the right to enjoin the production, exhibition, distribution or any other exploitation of the Submission by any Licensed Entity.
5. BINDING ARBITRATION: YOU AND SPONSOR AGREE THAT, EXCEPT FOR DISPUTES THAT QUALIFY FOR STATE COURTS OF LIMITED JURISDICTION (SUCH AS SMALL CLAIMS, JUSTICE OF THE PEACE, MAGISTRATE COURT, AND SIMILAR COURTS WITH MONETARY LIMITS ON THEIR JURISDICTIONS OVER CIVIL DISPUTES), ANY CONTROVERSY OR CLAIM, WHETHER AT LAW OR EQUITY, ARISING OUT OF OR RELATED TO THIS CONTEST, REGARDLESS OF THE DATE OF ACCRUAL OF SUCH DISPUTE, SHALL BE RESOLVED IN ITS ENTIRETY BY INDIVIDUAL (NOT CLASS-WIDE NOR COLLECTIVE) BINDING ARBITRATION. Arbitration is the submission of a dispute to a neutral arbitrator, instead of a judge or jury, for a final and binding decision, known as an “award.” Arbitration provides for more limited discovery than in court and is subject to limited review by courts. Each party has an opportunity to present evidence to the arbitrator in writing or through witnesses. An arbitrator can only award the same damages and relief that a court can award under the law and must honor these Official Rules. Any arbitration will take place in the county where you reside and will be determined by a single arbitrator. The arbitration shall be conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Consumer Arbitration Rules (the “Rules”), and judgment on the award may be entered in any court of competent jurisdiction. The Rules, including instructions for how to initiate arbitration, are available at http://www.adr.org or by calling the AAA at 1-800-778-7879. The arbitrator shall decide all issues of the case on the basis of the applicable law, not equity. If you initiate arbitration, you must serve Sponsor’s registered agent for service of process, Corporation Service Company, which has locations in every state. Information can also be found on the website of your local Secretary of State. Any filing fee or administrative fee required of you by the AAA Rules shall be paid by you to the extent such fee does not exceed the amount of the fee required to commence a similar action in a court that otherwise would have jurisdiction. For all non-frivolous complaints, Sponsor will pay the amount of such fee in excess of that amount. The arbitrator will allocate the administrative costs and arbitral fees consistent with the applicable rules of the AAA. Reasonable attorney’s fees and expenses will be allocated or awarded only to the extent such allocation or award is available under applicable law. You and Sponsor agree that this Contest affects interstate commerce so that the Federal Arbitration Act and federal arbitration law apply and govern the interpretation and enforcement of this provision (despite the choice of law provision). This agreement to arbitrate shall survive termination of the Contest or these Official Rules. If a court or arbitrator determines in an action between you and us that this Class Action Waiver is unenforceable, the arbitration agreement will be void as to you. All issues and questions concerning the construction, validity, interpretation, and enforceability of this Agreement, or the rights and obligations of the entrant and Sponsor in connection with the promotion, shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia.
6. GENERAL: This Agreement cannot be modified or waived except in writing signed by the party to be charged. The terms of this Agreement and its performance will be binding on you and your administrators, successors and assigns. If any provision of this Agreement is found by a court of competent jurisdiction to be illegal, invalid or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision to the maximum extent permitted by law, and the other provisions of the Agreement shall remain in full force and effect. You may not assign your rights under this Agreement without CITITRENDS’ prior written consent; any unauthorized assignment will be null and void. The Licensed Entities shall have the unlimited right to assign this Agreement and the rights granted by you under this Agreement at any time, in whole or in part, to any person or entity. The construction, validity, interpretation and enforceability of this Agreement will be governed by and construed in accordance with the laws of the State of Georgia and the laws of the United States of America without giving effect to any choice of law or conflicts of law rules. Any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Agreement shall be filed only in the state or federal courts situated in Chatham County, Georgia state. You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action.

YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND YOUR OBLIGATIONS HEREUNDER, THE RIGHTS THAT YOU ARE GRANTING HEREIN AND THE REPRESENTATIONS AND WARRANTIES YOU HAVE MADE IN THIS AGREEMENT.
