The Sponsor and Administrator and each of their respective employees, officers, directors, affiliated companies, subsidiaries, licensees, franchisees, distributors, dealers, sales representatives, retailers, printers, individuals engaged in the development, production or distribution of materials, their advertising agencies, and any and all other companies associated with the Giveaway agents (collectively, the “Promotion Entities”), and each of their immediate family members (as defined by the IRS) and/or people living in the same household, are not eligible to participate or to win. Individuals who have won a prize in any promotion by Sponsor in the last twelve (12) months are also not eligible to participate or win. By participating, each entrant agrees to be bound by these Official Rules and the decisions of the Sponsor and Administrator, which are final and legally binding on matters related to the Giveaway. All applicable federal and state laws and regulations apply. Void where prohibited by law.

SWEEPSTAKES PERIOD
Each Giveaway shall be held on a monthly basis and shall begin at 9:00 a.m. Eastern Time (“ET”) on the first day of each calendar month in 2023 and shall end at 11:59 p.m. ET on the last day of each calendar month in 2023 (each a “Sweepstakes Period (“Sweepstakes Period”).
HOW TO ENTER, DRAWINGS, and PRIZES/ODDS
To enter during a Sweepstakes Period, go to Sponsor’s website at https://feedback.cititrends.com and follow the instructions for participation. Entries must comply with the Submission Requirement as defined below.
LIMIT
One (1) entry per person regardless of the method of entry during each Sweepstakes Period. Entries will not roll over between each Sweepstakes Period.
In the event of a dispute as to the identity of an entrant entering via the method set forth, the authorized account holder of the email account used to enter the Giveaway will be deemed to be the entrant. “Authorized account holder of an email address” is defined as the person who is assigned to an email address by an Internet Access Provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. A selected winner may be required to provide proof that he/she is the authorized account holder of the account associated with the selected entry. All entries must be submitted from a valid email account that may be identified by a reverse domain search. The sole determinant of time for the purposes of receipt of a valid entry in the Giveaway will be the individual’s submission from his/her electronic device. No responsibility is assumed by Sponsor or Administrator for lost, late, misdirected, illegible, incomplete or stolen entries or for any computer, online, telephone or technical malfunctions that may occur.
If you do not have an email account and access to an electronic device, mail a postcard specifying the applicable Giveaway, your full name, complete mailing address, age, telephone number, with a response (if applicable) to the Giveaway to: Citi Trends, Inc., Attn: Entry for the Giveaway, 1385 Broadway Suite 1108, New York, NY, 10018. Entries will be placed into drawings based on the delivery date to the Administrator and carried forward to any remaining drawings (if any remain). No photocopies, facsimiles or mechanical reproductions will be accepted. Sponsor and Administrator are not responsible for lost, late, mutilated, misdirected, illegible, incomplete, inaccurate, stolen, or postage due entries or mail.
Regardless of the method of entry, each submission must comply with the following “Submission Requirement”: the submission must not contain any material that violates or infringes upon the rights of any third party, including without limitation intellectual property rights, copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful or in violation of or contrary to any applicable laws or regulations. Sponsor and Administrator will have the right in its discrete on to disqualify any submission that Sponsor or Administrator determines violates the Submission Requirement.
Entries made by any other individual or any entity, including but not limited to commercial sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for the Giveaway. Tampering with the entry process or the operation of the Giveaway is prohibited and any entries deemed by Sponsor or Administrator, in their sole discretion, to have been submitted in this manner shall be void. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer, network, or telephone connection malfunction or congestion, are void and will not be accepted. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor and Administrator decisions, which are final and legally binding in all matters related to the Giveaway and cannot be appealed. Winning a prize is contingent upon fulfilling all requirements set forth herein.
The winner(s) will be selected in a random drawing 10 days after the end of each Sweepstakes Period from all eligible entries received during the applicable Sweepstakes Period. There will be a total of one grand prize winner during each Sweepstakes Period who shall each receive a $100 gift card. Terms and conditions of any gift card given away as part of the Giveaway apply and such gift cards are only redeemable at Sponsor’s retail stores. No more than the stated number of prizes will be awarded. Odds of winning depend on the number of eligible entries received for the applicable drawing. By entering the Giveaway, you hereby agree to direct contact from Sponsor and Administrator. Only potential winners will be notified. Potential winners will be notified by direct message via email, and may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within seven (7) days of date of issuance. If (i) a potential winner does not reply to Administrator’s notification with his/her mailing address for prize delivery within two (2) business days and provide all documents are not returned within the specified time period (if applicable); (ii) has provided an invalid mailing address or a prize or prize notification is returned as undeliverable; (iii) a potential winner is not in compliance with these Official Rules; or (iv) a potential winner declines a prize for any reason prior to award, in the case of items (i)-(iv), the prize will be forfeited and, at Administrator’s discretion, an alternate winner selected for the drawing at issue. Prize is provided on an “as is” basis, without any warranty of any kind. Prize is non-transferable. Winners may not substitute, assign or transfer a prize or redeem a prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. Sponsor and Administrator also explicitly reserves the right to correct any and all errors, including but not limited to marketing errors, so as to make the Giveaway’s promotional materials conform to the Official Rules. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein.
By entering, each entrant, except where legally prohibited, grants permission for Sponsor, Administrator and their designees to use his/her proper name, social media user name (if different), biographical information, address (city and state), photograph (including social media profile photo), voice and/or other likeness and prize information, including the right to use and publish the winner’s entries and any statements made or attributed to such winner (collectively, the “Attributes”) for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, (unless prohibited by law) without notice, review or approval of winner and without compensation. Winner releases all Promotion Entities from all claims arising out of the use of such Attributes.
GENERAL PRIZE RESTRICTIONS & CONDITIONS
BY ENTERING, EACH ENTRANT agrees for entrant and for entrant’s heirs, executors, and administrators (A) to release and hold harmless Promotion Entities (collectively, “Released Parties” ) from any liability, claim, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of prize or any portion thereof (including any travel related thereto); (B) that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose; and (C) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Giveaway itself, and to be bound by all decisions of the Sponsor or Administrator which are binding and final. Failure to comply with these conditions may result in disqualification from the Promotion at Sponsor’s or Administrator’s sole discretion.
Sponsor and Administrator make no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Giveaway. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR AND ADMINISTRATOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
DISQUALIFICATION/FORCE MAJEURE
Sponsor and Administrator are not responsible for lost, late, incomplete, inaccurate, stolen, mutilated, misdirected, undelivered or garbled entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the sweepstakes, the processing of entries, the announcement of the prizes or in any sweepstakes-related materials. Sponsor and Administrator reserve the right to modify, extend, suspend, or terminate the Giveaway if it determines, in their sole discretion, that the Giveaway is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor or Administrator’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Giveaway as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor or Administrator is prevented from awarding prizes or continuing with the Giveaway as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor or Administrator’s control, then Sponsor or Administrator shall have the right to modify, suspend, or terminate the Giveaway.
Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the sweepstakes. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this sweepstakes or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor or Administrator, will be disqualified and all associated entries will be void. Should any portion of the sweepstakes be, in Sponsor or Administrator’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor or Administrator, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor or Administrator reserves the right at its sole discretion to suspend, modify or terminate the sweepstakes (or any portion thereof) and, if terminated, at its discretion, select the potential winner(s) from all eligible, non-suspect entries received for such drawing(s) prior to action taken or as otherwise deemed fair and appropriate by Sponsor or Administrator. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor or Administrator. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
Sponsor and Administrator reserves the right in their sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway, or to annoy, abuse, threaten or harass any other person, and Sponsor and Administrator reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.
DISPUTES
Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state of Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (3) unless otherwise prohibited, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and waives any and all rights to have damages multiplied or otherwise increased, and waives any and all rights to injunctive or other equitable relief. If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by Judicial Arbitration and Mediation Services, Inc. in accordance with its streamlined arbitration rules and procedures or subsequent versions thereof. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor or Administrator in connection with the Giveaway shall be governed by, and construed in accordance with, the laws of the state of Georgia, without giving effect to any choice of law or conflict of law rules (whether of the state of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Georgia.
