In celebration of Black History Month, Citi Trends, Inc. is acknowledging Black entrepreneurs that are making history today with a confirmed selling history of their products in at least one (1) of the following categories: Apparel, Beauty, Skin Care, Hair Care, Footwear, Home Décor, Bedding, Bath, Technology or Accessories. Citi Trends, Inc. shall provide selected Black entrepreneurs with Grants to help advance and further their businesses.
ELIGIBILITY, CONDITIONS OF PARTICIPATION & DATA COLLECTION
This grant program (hereinafter referred to as the “Grant” or “Grant Program”) is open to legal residents of Alabama, Arkansas, California, Connecticut, Delaware, Florida, Georgia, Illinois, Indiana, Iowa, Kansas, Kentucky, Louisiana, Maryland, Massachusetts, Michigan, Minnesota, Mississippi, Missouri, Nebraska, Nevada, New Jersey, New York, North Carolina, Ohio, Oklahoma, Pennsylvania, Rhode Island, South Carolina, Tennessee, Texas, Virginia, or Wisconsin who are 18 years of age or older, as of date of application.
You must be a Black entrepreneur or a Black owner in a Black majority-owned business that has a confirmed selling history of products in at least one (1) of the following categories: Apparel, Beauty, Skin Care, Hair Care, Footwear, Home Décor, Bedding, Bath, Technology or Accessories, Your product must comply with all applicable laws and your business must comply with all laws as well, including without limitation including federal, state and local licensing and certification requirements (e.g. FDA requirements).
You must have a business logo, photos of your product(s) and photos of your product(s) displayed for sale (whether in-store or online) which must be submitted with your application. Your business must be a for-profit business and any non-profit businesses will be deemed ineligible. You must have a registered business and submit at least one (1) of the following documents as evidence of such business: Letter from the IRS assigning your Tax ID, Business License or a certified copy of Articles of Incorporation. Your business must have a valid Business EIN and if selected as a Grant recipient, you must submit a signed W-9 listing your business entity and its EIN in order to receive the Grant Funds.
You must voluntarily complete a background check if requested by Citi Trends, Inc. You must not or have any civil charges pending against your business or its products, including but not limited to any lawsuits.
Citi Trends, Inc. (the “Sponsor” and the “Administrator” of this Grant) and its respective employees, officers, directors, affiliated companies, subsidiaries, licensees, franchisees, distributors, dealers, sales representatives, retailers, printers, individuals engaged in the development, production or distribution of materials, their advertising agencies, and any and all other companies associated with the Grant agents (collectively, the “Grant Entities ”), and each of their immediate family members (as defined by the IRS) and/or people living in the same household, are not eligible to participate or to be a selected Grant recipient. Vendors of Citi Trends, Inc. are also not eligible to participate or be a selected Grant recipient. All eligibility is subject to all federal, state and local laws and regulations. All applications submitted are the property of the Sponsor.
By participating, you agree to be bound by these Grant Program Guidelines and the decisions of the Sponsor and Administrator, which are final and legally binding on matters related to the Grant. All applicable federal and state laws and regulations apply. Void where prohibited by law

GRANT APPLICATION PERIOD
The Grant application period begins at 9:00 a.m. Eastern Time (“ET”) on 02/01/2021 and ends at 11:59 p.m. ET on 02/28/2021 (the “Grant Application Period”). In the event of insufficient qualifying submissions, the Administrator reserves the right to extend the Grant Application Period or adjust Grant fund amounts.
HOW TO APPLY
To apply during the Grant Application Period, go to Sponsor’s website page for the Grant Program located at: http://www.cititrends.com/bhm, read Sponsor’s specific Grant Program announcement, and follow the application instructions. Applications must comply with any requirements set forth herein, as well as the Submission Requirement as defined below.
One (1) application per person and business during the Grant Application Period regardless of the method of application.
“Authorized account holder of an email address” is defined as the person who is assigned to an email address by an Internet Access Provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Being selected for a Grant may be required to provide proof that he/she is the authorized account holder of the account associated with the selected application. No responsibility is assumed by Sponsor or Administrator for lost, late, misdirected, illegible, incomplete or stolen applications or for any computer, online, telephone or technical malfunctions that may occur.
If you do not have an email address and access to an electronic device capable of internet access, you may mail your application form along with any required documentation in order to be eligible for the Grant to: Citi Trends, Inc., Attn: Application for the Grant, 1385 Broadway Suite 1108, New York, NY, 10018. Applications will be accepted based on the delivery date to the Administrator and whether such date is within the Grant Application Period. No photocopies, facsimiles or mechanical reproductions will be accepted. Sponsor and Administrator are not responsible for lost, late, mutilated, misdirected, illegible, incomplete, inaccurate, stolen, or postage due applications or mail.
Regardless of the method of application, each application must comply with the following “Submission Requirement”: the submission must be suitable for publication, consistent with the Theme and Sponsor’s goodwill, and may not contain any product, materials, pattern, system, service, document, application materials or the like that violates or infringes upon the rights of any third party, including without limitation intellectual property rights, copyrights, trademarks, patents, trade secrets or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful or in violation of or contrary to any applicable laws or regulations. By submitting an application, you hereby understand and agree that you shall defend, indemnify and hold the Grant Entities harmless from and against any and all claims of any person or entity for damages of any nature arising in any way from or relating to, directly or indirectly to: (i) third party rights or alleged rights as detailed in the foregoing sentence; (ii) your failure, your business’ failure or any of your products’ failure to comply with applicable law, including without limitation, federal, state and local licensing and certification requirements (e.g. FDA requirements); or (iii) your or your businesses’ negligence or willful misconduct. Sponsor and Administrator will have the right in its discretion on to disqualify any submission that Sponsor or Administrator determines violates the Submission Requirement. Everything you submit as part of the application process shall become the property of Sponsor and Sponsor will not have any obligation to return, delete or destroy any of your submissions.
If the Sponsor or Administrator determines, in its sole discretion, that there is any suspected tampering with the administration of the Grant Program, or if technical difficulties compromise the integrity of the Grant Program, they each reserve the right, respectively and jointly, to disqualify the Grant application(s) at issue and/or terminate the Grant Program (or any portion thereof) and evaluate those eligible applications received as of the date requiring such termination action. If the Grant Program is terminated prior to the published application deadline at the end of the Grant Application Period, or otherwise prior to the selection of all selected Grant recipients, notice will be posted on http://www.cititrends.com/bhm. Any attempt to deliberately damage the content or operation of the Gant Program is unlawful and subject to legal action by the Sponsor, Administrator or its agents. Additionally, any plagiarism, infringement or other action in violation of any requirements set forth herein will cause such application(s) to be declared invalid and disqualified. Tampering with the application process or the operation of the Grant Program is prohibited and any applications deemed by Sponsor or Administrator, in their sole discretion, to have been submitted in this manner will be declared invalid and disqualified. Applications generated by a script, macro, or other automated means will be declared invalid and disqualified. Applications that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer, network, or telephone connection malfunction or congestion, will be declared invalid and disqualified. Participation in the Grant Program constitutes your full and unconditional agreement to these Grant Program Guidelines and Sponsor and Administrator decisions, which are final and legally binding in all matters related to the Grant Program and cannot be appealed. Being a selected recipient of the Grant Funds is contingent upon you fulfilling all requirements set forth herein.
The Grant recipients will be selected within 90 days after the end of the Grant Application Period by 05/29/2021. Selection of Grant recipients will be judged on the following percentages and based on the most compelling businesses that describe their product(s) and their alignment with the product categories, how such businesses are making history today, and how the applicants plan to use the Grant Funds to create tangible results in the interest of helping to further their businesses and continue making history: (i) keeping with the Theme judged at 40%; (ii) level of product creativity judged at 30%; and (iii) product viability judged at 30% from all eligible applications received during the Grant Application Period. In the event of a tie, the most creative product shall break such tie. There will be ten (10) selected Grant recipients which shall each receive a $5,000.00 grant (the “Grant Funds”) payable to the recipient’s business entity as listed on the signed W-9 submitted with the recipient’s application. The disbursement of the Grant Funds will be administered in a manner that will reasonably and appropriately fund the selected Grant recipient’s business, in the Sponsor’s sole discretion. The Grant Funds will be disbursed to each selected Grant recipient in a manner of Sponsor’s choosing to ensure that Grant Funds are used solely to implement the selected Grant recipient’s business plan. The Grant recipients will be selected by the Citi Trends CitiCARES council and the Black History Makers Committee based on the criteria stated herein and such decisions are final and binding in all matters relating to the Grant Program. No more than the stated number of recipients will be awarded the Grant Funds. By applying to the Grant Program, you hereby agree to direct contact from Sponsor and Administrator. Only potential selected Grant recipients will be notified by Sponsor. Potential selected Grant recipients will be notified by the email or phone number listed on the application form, and may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release (collectively, the Release”) within seven (7) days of date of issuance. If (i) a potential selected Grant recipient does not reply to Administrator’s notification with his/her mailing address for Grant Funds delivery within two (2) business days or does not return all required documentation within the specified time period (if applicable); (ii) a potential selected Grant recipient provides an invalid mailing address for the Grant Funds or the Grant Funds notification from Sponsor is returned as undeliverable; (iii) a potential selected Grant recipient does not return the Release within the required timeframe if required; (iv) a potential selected Grant recipient is not in compliance with these Grant Program Guidelines; or (v) a potential selected Grant recipient declines the Grant Funds for any reason prior to disbursement, in the case of items (i)-(v), the Grant Funds will be forfeited and, at Administrator’s discretion, an alternate Grant recipient will be selected. Grant Funds are provided on an “as is” basis, without any warranty of any kind. Grant Funds are non-transferable. Selected Grant recipients may not substitute, assign or transfer the Grant Funds, but Sponsor reserves the right, at its sole discretion, to substitute the Grant Funds (or portion thereof) with one of comparable or greater value. Sponsor and Administrator also explicitly reserve the right to correct any and all errors, including but not limited to marketing errors, so as to make the Grant Program’s promotional materials conform to these Grant Program Guidelines. Selected Grant recipients are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with the Grant Funds acceptance and use not specified herein. Each selected Grant recipient will be required to provide Sponsor with applicable tax information for its business prior to the Grant Funds disbursement and each selected Grant recipient may receive an IRS Form 1099 or equivalent from the Sponsor. If the grant is taxable income to grant recipient, the grant recipient will receive an additional $1,000.00 in Grant Funds (the “Additional Grant Funds”) as a contribution toward the selected grant recipient’s tax liability.
Selected Grant recipients may be required to be filmed, interviewed and/or photographed in connection with their business plan and/or products. By applying, you, except where legally prohibited, grant permission for Sponsor, Administrator and their designees to use your name, nickname, blog name, social media user handle and links to your social media personal page or business page, biographical information, image, appearance, performance, voice, statements, videos, photos, composite images and modified representations, and/or other likeness, including the right to use and publish the selected Grant recipients’ names, applications and any statements made or attributed to such selected Grant recipients and any photos taken or videos recorded in connection to the Grant Program (collectively, the “Attributes”), on any and all social media platforms and media now known or hereafter discovered worldwide in perpetuity, (unless prohibited by law) without notice, review or approval of Grant recipient and without further compensation, including but not limited to use on Citi Trends’ website and app, social media (Facebook, Instagram and Twitter) and email advertising for the purposes of publicity, promotional, illustration, commercial art, advertising, publishing (including, without limitation, publishing in electronic form on apps or internet websites), for any product or services, or any other lawful uses or purposes. You release all Grant Entities from all claims arising out of the use of such Attributes.
GENERAL GRANT FUNDS RESTRICTIONS & CONDITIONS
BY APPLYING FOR THE GRANT, YOU agree for you and for your heirs, executors, and administrators (A) to defend, release and hold harmless Grant Entities (collectively, “Released Parties” ) from any liability, claim, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from your product, business, business plan or participation in the Grant Program and/or your acceptance, possession, use, or misuse of the Grant Funds or any portion thereof (including any travel related thereto); or (B) to be bound by these Grant Program Guidelines and to waive any right to claim any ambiguity or error therein or in the Grant Program itself, and to be bound by all decisions of the Sponsor or Administrator which are binding and final. Failure to comply with these conditions may result in disqualification from the Grant Program at Sponsor’s or Administrator’s sole discretion. Sponsor and Administrator are not responsible for any typographical or other errors in printing, the offering or administration of the Grant Program, or in the announcement, disbursement, or acceptance of the Grant Funds. Selection of Grant recipients for any Grant Funds shall not be considered an endorsement of such selected Grant recipient’s business plan and/or its products by Sponsor or Administrator.
Sponsor and Administrator make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any Grant Funds furnished in connection with the Grant Program.
Selected Grant recipients must use the Grant Funds as detailed in the business plan submitted with your application. Selected Grant recipients may be required to provide written, oral or video status reports to Sponsor to evidence appropriate use of the Grant Funds. Applicants may be required to complete a video, interview, phone interview or background check as part of the application process. Upon Sponsor’s request, selected Grant recipients may be required to take photos and/or videos (content to be pre-approved by Sponsor in writing) to be posted on Sponsor’s Instagram and/or Facebook pages providing the status of their business plan and the use of the Grant Funds. Failure of any selected Grant recipient to provide the Sponsor with business plan status or Grant Funds use updates after Grant Funds disbursement as requested by Sponsor may result in suspension or termination of Grant Funds disbursements, in Sponsor’s sole discretion.
Sponsor and Administrator are not responsible for lost, late, incomplete, inaccurate, stolen, mutilated, misdirected, undelivered or garbled applications or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Grant Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Grant Program, the processing of applications, the announcement of the Grant Funds or in any Grant Program-related materials. Sponsor and Administrator reserve the right to modify, extend, suspend, or terminate the Grant Program they determine, in their sole discretion, that the Grant Program is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor or Administrator’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the Grant Program as contemplated herein. In the event an insufficient number of eligible applications are received and/or Sponsor or Administrator is prevented from awarding the Grant Funds or continuing with the Grant Program as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural pandemic or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor or Administrator’s control, then Sponsor or Administrator shall have the right to modify, suspend, or terminate the Grant Program.
Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Grant Program. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Grant Program or downloading materials from or use of Sponsor’s website. Persons who tamper with or abuse any aspect of the Grant Program or Sponsor’s website or who are in violation of these Grant Program Guidelines, as solely determined by Sponsor or Administrator, will be disqualified and all associated applications will be disqualified and declared invalid. Should any portion of the Grant Program be, in Sponsor or Administrator’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor or Administrator, corrupt or impair the administration, security, fairness, or submission of applications, Sponsor or Administrator reserves the right at its sole discretion to suspend, modify or terminate the Grant Program (or any portion thereof) and, if terminated, at its discretion, select the Grant recipient(s) from all eligible, non-suspect applications received during the Grant Application Period prior to action taken or as otherwise deemed fair and appropriate by Sponsor or Administrator. These Grant Program Guidelines cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor or Administrator. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Grant Program Guidelines shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
Sponsor and Administrator reserves the right in their sole discretion to disqualify any individual who is found to be tampering with the application process or the operation of the Grant Program, to be acting in violation of these Grant Program Guidelines, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Grant Program, or to annoy, abuse, threaten or harass any other person, and Sponsor and Administrator reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple applications will be accepted.
Except where prohibited, you agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this Grant Program or any Grant Funds awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state of Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with applying this Grant Program, but in no event attorneys’ fees; and (3) unless otherwise prohibited, under no circumstances will entrant be permitted to obtain awards for, and you hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and waive any and all rights to have damages multiplied or otherwise increased, and waive any and all rights to injunctive or other equitable relief. If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by Judicial Arbitration and Mediation Services, Inc. in accordance with its streamlined arbitration rules and procedures or subsequent versions thereof. All issues and questions concerning the construction, validity, interpretation and enforceability of these Grant Program Guidelines, or the rights and obligations of you and Sponsor or Administrator in connection with the Grant Program shall be governed by, and construed in accordance with, the laws of the state of Georgia, without giving effect to any choice of law or conflict of law rules (whether of the state of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Georgia.

The names of the selected Grant recipients will be posted on http://www.cititrends.com/bhm on or about 05/31/2021. For a copy of these Grant Program Guidelines or the selected Grant recipients’ list, please send a self-addressed stamped envelope with a written request specifying the applicable Grant Program which must be received within thirty (30) days after the end of the Grant Application Period to: Citi Trends, Inc., Attn: The Grant Program, 1385 Broadway Suite 1108, New York, NY, 10018.
